Terms of Service

1. Acceptance of Terms

By accessing or using Stratuye ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

2. Description of Service

Stratuye is a strategy execution platform, not a broker, investment advisor, or asset manager.

We provide:

• Automated trading strategy execution in your own brokerage account
• Non-custodial trade signal generation and execution
• Performance analytics and reporting

We do NOT:

• Hold, custody, or control your funds
• Provide investment advice or recommendations
• Guarantee any level of performance or returns
• Act as a broker-dealer or registered investment advisor

3. Non-Custodial Model

Your funds remain at your broker at all times. Stratuye only has API access to execute trades you authorize. We cannot withdraw, transfer, or access your cash. You maintain full legal ownership of your brokerage account and can disconnect at any time.

4. Risk Disclosure

Trading involves substantial risk of loss. You acknowledge and accept that:

• Past performance does not guarantee future results. All performance data shown is backtested and may not reflect actual trading results.
• You can lose money. You can lose your entire investment. The strategy uses leverage (2x margin), which amplifies both gains and losses.
• Market risk exists. Adverse market conditions can cause losses beyond historical drawdown levels.
• Strategy risk exists. The strategy can underperform the S&P 500 in any given period.
• Execution risk exists. Slippage, liquidity constraints, broker outages, or technical failures can impact performance.

5. No Investment Advice

Stratuye is not a registered investment advisor. Nothing on this Platform constitutes investment advice, financial advice, trading advice, or any other type of advice. You are solely responsible for evaluating the merits and risks of using our Platform. You should consult with a licensed financial advisor before making any investment decisions.

6. User Responsibilities

You are responsible for:

• Maintaining your own brokerage account in good standing
• Ensuring sufficient capital and margin requirements
• All trading decisions executed in your account
• Compliance with all applicable laws and regulations
• Tax reporting and obligations
• Protecting your account credentials and API keys

7. Broker Integration

You authorize Stratuye to connect to your brokerage account via API for the purpose of:

• Reading account positions and balances
• Executing buy and sell orders according to the strategy
• Retrieving trade confirmations and performance data

You acknowledge that:

• Your broker (Alpaca Securities, Interactive Brokers, etc.) is a separate entity
• We are not responsible for broker outages, errors, or failures
• You remain subject to your broker's terms and conditions
• SIPC protection (if applicable) is provided by your broker, not Stratuye
• Live strategy execution is subject to broker constraints, including minimum notional order sizes. As a result, a minimum connected account balance may be required for execution.

8. Strategy Parameters

Strategy parameters are fixed and non-negotiable. All users receive the same strategy rules, execution logic, and position sizing. We do not offer custom strategies, parameter adjustments, or discretionary overrides. This ensures backtest validity and fairness.

9. Pricing and Fees

Stratuye offers two pricing models:

Option 1: Monthly Subscription

• Flat rate: $99/month (subject to change with notice)
• No performance fees
• No assets under management (AUM) fees

Option 2: Performance-Based Fee

• 20% of net profits above high-water mark
• No monthly subscription fee
• High-water mark resets annually or upon switching plans

You may switch between pricing models at any time. Changes take effect at the start of the next billing cycle.

10. Cancellation and Termination

You may cancel at any time. Upon cancellation:

• Trading stops immediately
• Existing positions remain open (you decide whether to close manually or let the strategy exit)
• No refunds for partial months (subscription model)
• Performance fees (if applicable) are calculated through the cancellation date

We reserve the right to terminate or suspend your access if:

• You violate these Terms
• You engage in fraudulent or abusive behavior
• Your brokerage account is closed or suspended
• Required by law or regulation

11. No Guarantees

We make no guarantees regarding:

• Investment performance or returns
• System uptime or availability
• Execution quality or timing
• Future strategy performance

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Stratuye shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform
• Our total liability shall not exceed the fees you paid in the 12 months prior to the claim
• We are not responsible for trading losses, missed opportunities, broker errors, or market conditions

13. Intellectual Property

All strategy logic, algorithms, code, documentation, and content on the Platform are proprietary and protected by intellectual property laws. You may not:

• Reverse engineer the strategy
• Copy or reproduce strategy logic
• Use our intellectual property for commercial purposes

14. Data and Privacy

Your use of the Platform is subject to our Privacy Policy. We collect and process data as described in the Privacy Policy, which is incorporated into these Terms by reference.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of [Your Jurisdiction].

16. Indemnification

• Your trading activities
• Your violation of any applicable laws or regulations

17. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Stratuye regarding the Platform and supersede all prior agreements.
