These Terms govern use of Stratuye, a non-custodial technology platform operated by AIT Pro LLP. Stratuye provides rules-based trading automation, account visibility, execution monitoring and related technology. Brokerage accounts and customer assets remain with the user's chosen brokerage provider.

1. Agreement and operator

These Terms and Conditions ("Terms") form an agreement between the person or entity using Stratuye ("User", "you") and AIT Pro LLP, operating the Stratuye platform ("Stratuye", "we", "us"). By creating an account, connecting a brokerage account, enabling a strategy profile or otherwise using Stratuye, you agree to these Terms.

2. Nature of the service

  • Stratuye is a software and technology service. It is not a brokerage account, exchange, custodian or bank account.
  • Stratuye does not hold, receive, withdraw or custody customer cash or securities.
  • Users connect an existing brokerage account through a supported integration and may grant Stratuye scoped access to account data and trading functions.
  • The platform may provide portfolio visibility, execution monitoring, strategy analytics, account-level risk controls and rules-based order automation.
  • Stratuye does not provide social trading, influencer trading, lead-trader following, or functionality that copies another person's brokerage account or trades.

3. Eligibility and user responsibility

You may use Stratuye only if you are legally permitted to enter into these Terms and to use the connected brokerage services in your jurisdiction. You are responsible for maintaining a brokerage account in good standing, reviewing the brokerage provider's own agreements and disclosures, and ensuring that your use of Stratuye is lawful where you reside.

4. User-directed automated execution

Stratuye offers predefined, rules-based strategy profiles. When you select and enable a strategy profile, you direct and authorize Stratuye to calculate and submit orders generated by that selected profile to your connected brokerage account, subject to account-specific equity, current positions, risk parameters, supported order types, minimum quantities, market conditions and execution constraints. The authorization remains active until you pause automation, disconnect the brokerage integration, close your Stratuye account, or Stratuye suspends the service under these Terms.

The same strategy logic may produce different orders or position sizes in different accounts because calculations are performed independently using each account's own balance, holdings, restrictions and execution capabilities.

5. Strategy profiles and informational content

Strategy profiles are impersonal software configurations based on predefined rules. Information displayed about a strategy, including historical results, backtests, risk statistics, examples or performance analytics, is provided to help users understand how the technology operates. It is not individualized investment advice, a personalized recommendation, or a guarantee of future results.

6. Brokerage relationship

Your brokerage account is provided and maintained by an independent brokerage provider under a separate agreement between you and that provider. Stratuye does not control brokerage account approval, custody, market access, order handling, settlement, margin, corporate actions, regulatory restrictions, or brokerage fees. Broker outages, rejected orders, trading halts, market closures, account restrictions and other broker-side events may affect Stratuye functionality.

7. OAuth and connected-account permissions

When you connect a brokerage account, you may be redirected to the brokerage provider or an authorized integration provider to authenticate and grant access. Where OAuth is used, Stratuye does not require you to provide your brokerage password to Stratuye. The permissions you authorize may include reading account information and, when enabled, submitting transactions at your direction through the selected strategy profile. You may revoke the connection through available platform or brokerage controls.

8. Fees and third-party charges

Stratuye fees, if any, are described in the then-current Stratuye Pricing Schedule or a separate written pilot agreement accepted by the User. Brokerage, exchange, market-data, regulatory, payment, tax or other third-party charges are separate and may be imposed directly by third parties. Stratuye does not control those third-party charges.

9. Trading and technology risks

  • Trading securities involves risk of loss, including loss of principal.
  • Past performance, simulated results and backtests do not guarantee future performance.
  • Automated strategies can generate losses, execute at unexpected prices, or behave differently during unusual market conditions.
  • Orders may be delayed, partially filled, rejected, cancelled or executed at prices different from displayed or calculated values.
  • Connectivity failures, software defects, third-party outages, stale data, market-data issues and other technical events can affect execution.
  • Whole-share or minimum-order constraints may cause actual allocations to differ from model targets.
  • Users should maintain sufficient liquidity and monitor their brokerage account and risk exposure.

10. User controls and monitoring

You are responsible for reviewing your connected account, positions, orders and account settings. Where the platform provides pause, stop, disconnect or other controls, you should use them when you no longer want automated execution. You remain responsible for your brokerage account even when automation is enabled.

11. Prohibited use

  • Using Stratuye for unlawful, fraudulent, manipulative or abusive trading activity.
  • Attempting to bypass platform risk controls, access restrictions or security measures.
  • Sharing credentials or access in a way that compromises account security.
  • Reverse engineering, copying or commercially exploiting Stratuye software, strategy logic or proprietary materials except as permitted by law.
  • Using the service to provide unauthorized brokerage, advisory, copy-trading or other regulated services to third parties.

12. Availability, maintenance and changes

Stratuye may modify, suspend or discontinue features for maintenance, security, regulatory, broker-integration or operational reasons. We may impose temporary trading restrictions, risk controls or kill switches where reasonably necessary to protect users, the platform or connected systems. We do not guarantee uninterrupted or error-free availability.

13. Data and privacy

Use of personal data is governed by the Stratuye Privacy Policy. By using the platform, you acknowledge that account, order and portfolio information may be processed as necessary to provide the service, operate integrations, prevent fraud, secure the platform and comply with applicable obligations.

14. Intellectual property

Stratuye and its software, interfaces, strategy implementations, documentation, designs, trademarks, analytics and other platform materials are owned by or licensed to AIT Pro LLP. Except for the limited right to use the service under these Terms, no intellectual-property rights are transferred to the User.

15. Disclaimers

To the fullest extent permitted by applicable law, Stratuye is provided on an "as available" basis. AIT Pro LLP does not warrant any particular investment result, profit, loss limitation, uptime, order execution price, or compatibility with every brokerage account or market condition. Nothing in Stratuye constitutes a promise that a strategy will achieve its historical, simulated or stated characteristics.

16. Limitation of liability

To the fullest extent permitted by applicable law, AIT Pro LLP will not be liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost opportunities or trading losses arising from market movements, user decisions, brokerage actions, third-party outages or events outside Stratuye's reasonable control. Any liability that cannot lawfully be excluded remains subject to applicable mandatory law.

17. Suspension and termination

You may stop using Stratuye and disconnect supported brokerage integrations at any time. We may suspend or terminate access for security, non-payment, prohibited use, legal or regulatory requirements, broker restrictions, material breach of these Terms or risk-management reasons. Termination does not automatically close positions held at your brokerage provider; you remain responsible for those positions.

18. Governing law and disputes

These Terms are governed by the laws of the Republic of Kazakhstan, without prejudice to any mandatory rights that apply to a User under applicable law. The parties should first attempt to resolve disputes in good faith. Any dispute not resolved amicably will be handled by the competent courts of the Republic of Kazakhstan unless mandatory law requires another forum.

19. Changes to these Terms

We may update these Terms to reflect changes to the service, security practices, legal requirements or commercial terms. Material changes will be communicated through the platform, by email or by another reasonable method before they take effect where required.
